Terms of Service

1. Introduction

Welcome to Hulaya. These Terms of Service (“Terms”) govern your access to and use of the Hulaya platform (“Platform”), available at hulaya.com, including all features, tools, services, listings, and content provided through the Platform.

By creating an account, accessing the Platform, booking a dance event, or listing an event, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. Nature of the Platform

Hulaya is an online marketplace and intermediary platform that connects dance event organizers (“Organizers”) with dancers and participants (“Dancers”). Hulaya facilitates the discovery, listing, and booking of dance workshops, camps, and events.

Hulaya is not an event organizer. Hulaya does not host, conduct, plan, or operate dance events. Hulaya is not a party to any contract between Dancers and Organizers. The legal relationship for the actual dance event exists solely between the Dancer and the Organizer.

Hulaya does not employ, supervise, or control any dance instructors, teachers, or event staff. Hulaya does not guarantee the quality, safety, legality, or accuracy of any event listed on the Platform.

3. Eligibility and Account Registration

To use the Platform, you must be at least 18 years old, or at least 16 years old with verifiable parental or guardian consent. By registering, you confirm that all information you provide is accurate, current, and complete.

Each person may hold only one account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying Hulaya immediately of any unauthorized access

Hulaya reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent or harmful conduct.

4. Organizer Obligations

As an Organizer, you agree to:

• Provide accurate, complete, and up-to-date information for all event listings
• Honour all confirmed bookings and reservations
• Communicate promptly and clearly with Dancers regarding your events
• Define and clearly state your refund and cancellation policy within each listing
• Comply with all applicable local, national, and international laws, including event licensing, health and safety regulations, tax obligations, and data protection requirements
• Not redirect Dancers to external payment systems to circumvent Hulaya’s fees
• Connect a valid Stripe account to accept online payments (Pro and Premium plans)
• Inform Hulaya of event cancellations as soon as possible

Organizers are solely responsible for the accuracy of their event descriptions, prices, schedules, instructor information, and any other content published on the Platform.

Organizers grant Hulaya a non-exclusive, worldwide, royalty-free licence to use, display, and reproduce uploaded photos, videos, and event descriptions for the purpose of operating and promoting the Platform.

5. Dancer Obligations

As a Dancer, you agree to:

• Provide accurate information when creating an account and making bookings
• Review and understand the event details, refund policy, and requirements before booking
• Attend booked events, or cancel in accordance with the Organizer’s cancellation policy
• Treat Organizers, instructors, and other Dancers with respect
• Not share your booking confirmation or QR code with others

Dancers under 18 must obtain parental or guardian consent to participate in events that require it.

6. Prohibited Conduct

All users are strictly prohibited from:

• Creating false, misleading, or fraudulent listings or accounts
• Circumventing, bypassing, or attempting to avoid Hulaya’s payment system
• Soliciting Dancers to complete bookings outside the Hulaya platform for events listed on Hulaya
• Providing external links or payment methods to avoid platform fees
• Posting illegal, defamatory, discriminatory, or harmful content
• Harassing, threatening, or abusing other users
• Spamming users via the messaging system
• Using the Platform for events unrelated to dance or movement arts without prior approval
• Attempting to reverse engineer, scrape, or copy Platform data or functionality
• Creating multiple accounts to circumvent bans or restrictions

Violations may result in immediate account suspension or permanent termination, and may be reported to the relevant authorities where applicable.

7. Pricing, Plans, and Fees

7.1 Organizer Plans

Hulaya offers three subscription plans for Organizers:

7.2 Organizer Transaction Fees

For paid bookings, Hulaya deducts a platform fee and a per-transaction fee from the ticket price. These fees are tiered based on the ticket price:

Transaction fees are calculated on the ticket price only, excluding the Dancer service fee. Hulaya also charges a platform fee of 5% (Pro) or 3% (Premium) per transaction. All fees are deducted from the Organizer’s payout automatically via Stripe.

7.3 Dancer Booking Fee

Dancers are charged a service fee at checkout. This fee is separate from and in addition to the ticket price set by the Organizer:

• CHF bookings: 3.25% + CHF 0.30 per booking
• Non-CHF bookings: 5.5% + a currency-specific fixed fee per booking

Non-CHF booking fees are higher due to international payment processing surcharges applied by Stripe. These fees are transparently displayed at checkout before payment is confirmed. Dancer service fees are non-refundable, except where required by applicable law.

7.4 Premium Subscription Billing

The Premium plan is billed monthly in advance. Subscriptions automatically renew unless cancelled before the next billing date. Monthly fees are non-refundable once billed. Hulaya reserves the right to adjust plan pricing with 30 days’ notice.

8. Payment Processing and Payouts

All payment processing on the Platform is handled by Stripe(Stripe, Inc. / Stripe Payments Europe Ltd.). By using Hulaya’s payment features, you also agree to Stripe’s Terms of Service.

Organizers must connect a valid Stripe account (via Stripe Connect) and complete Stripe’s identity verification (KYC) to receive payouts. Hulaya does not store or process credit card details directly.

Organizer payouts are processed after the event has taken place and payment has cleared, typically within 3–5 business days after the event date. Hulaya reserves the right to hold payouts in cases of disputes, refund requests, or suspected fraud until resolution.

Hulaya acts as a payment intermediary and does not hold or escrow funds on behalf of Organizers beyond the standard processing period. Hulaya is not responsible for payout delays caused by Stripe, banks, payment networks, or regulatory requirements.

9. Cancellations and Refunds

9.1 Organizer Cancellation Policy

Each Organizer must define and display their cancellation and refund policy within their event listing. Hulaya does not set a universal refund policy. Dancers must review the Organizer’s policy before booking.

9.2 Refund Process

Refund requests must be submitted through the Platform. The Organizer reviews and approves or rejects refund requests via their dashboard. Approved refunds are processed through Stripe and may take 5–10 business days to appear in the Dancer’s account.

Hulaya may, at its sole discretion, intervene in refund disputes to facilitate resolution. Hulaya does not guarantee refunds and is not liable for refund decisions made by Organizers.

9.3 Non-Refundable Fees

Dancer service fees charged by Hulaya at checkout are non-refundable, except where required by applicable mandatory consumer protection law.

9.4 Event Cancellation by Organizer

If an Organizer cancels an event, Dancers are entitled to a full refund of the ticket price. Dancer service fees may be refunded at Hulaya’s discretion in such cases. Hulaya is not liable for any consequential damages including travel, accommodation, or other costs incurred by Dancers.

10. Intellectual Property

All Platform content, design, software, trademarks, logos, and structure are the exclusive intellectual property of Hulaya or its licensors and are protected by copyright and applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without prior written permission from Hulaya.

Users retain ownership of content they upload. By uploading content, you grant Hulaya a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and promote such content in connection with operating and marketing the Platform. This licence ends when the content is removed, except where copies have already been distributed or published.

You represent and warrant that you own or have all necessary rights to any content you upload and that such content does not infringe any third-party rights.

11. Platform Availability and Modifications

Hulaya strives to maintain continuous Platform availability but does not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or factors beyond Hulaya’s control (e.g. third-party infrastructure failures).

Hulaya reserves the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice where possible. Hulaya may update these Terms at any time. Continued use of the Platform after changes are published constitutes acceptance of the revised Terms.

12. Liability and Disclaimers

Hulaya provides the Platform on an “as is” and “as available” basis. To the maximum extent permitted by law, Hulaya expressly disclaims all warranties, whether express, implied, or statutory.

Hulaya is not liable for:

• Physical injuries, accidents, or health incidents occurring at events
• Theft, loss, or damage to personal property at events
• The conduct, actions, or omissions of Organizers, instructors, or other Dancers
• Event cancellations, postponements, or changes by Organizers
• Inaccuracies or misrepresentations in Organizer event listings
• Quality of instruction, event content, or participant experience
• Travel, accommodation, or other costs incurred by Dancers in connection with events
• Technical failures, data loss, or interruptions beyond Hulaya’s reasonable control
• Actions of third-party service providers (including Stripe, Supabase, and Vercel)

Hulaya’s total liability for any claim arising from use of the Platform shall not exceed the greater of (a) the fees paid by the claimant to Hulaya in the three months preceding the claim, or (b) CHF 100. Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

13. Taxes

Organizers are solely responsible for all tax obligations arising from their use of the Platform, including but not limited to income tax, VAT, local event levies, and any other applicable taxes in their jurisdiction. Hulaya does not provide tax advice and does not calculate, collect, or remit taxes on behalf of Organizers.

Hulaya is currently not VAT-registered. This may change if regulatory requirements change, and will be communicated with reasonable notice.

14. Account Termination

You may delete your account at any time via the account settings or by contacting support@hulaya.com.

Hulaya reserves the right to suspend or permanently terminate any account, without prior notice, if the user has violated these Terms, engaged in fraudulent activity, or poses a risk to the Platform or other users.

Upon account deletion, personal data will be handled in accordance with our Privacy Policy. Certain data may be retained as required by law (e.g. financial records).

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bern, Switzerland.

If you are a consumer in the EU, you may also have the right to bring proceedings in the courts of your country of residence under applicable consumer protection law.

The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. Hulaya is not obliged to participate in dispute resolution proceedings before a consumer arbitration board but is willing to seek amicable resolution.
